Terms of Service

These Terms of Service ("Terms") govern your access to and use of baagenerator.com and the BAA generation tool (together, the "Service"), operated by BAA Generator ("we," "us," or "our"). By using the Service, you agree to these Terms.

1. Not legal advice

BAA Generator is not a law firm. The Service does not provide legal advice and does not create an attorney-client relationship. Documents generated by the Service are structured templates populated with the inputs you provide; they are not individualized legal opinions. Laws change and vary by jurisdiction. You are solely responsible for determining whether a given document is appropriate for your situation. We strongly recommend that you consult a qualified attorney licensed in your jurisdiction before signing any legal agreement — especially if your situation involves unusual parties, cross-border data flows, active investigations, or novel use cases.

2. Eligibility

You must be at least 18 years old and able to form a legally binding contract to use the Service. By using the Service on behalf of an organization, you represent that you have authority to bind that organization.

3. The Service

The Service is a web-based tool that lets you generate a Business Associate Agreement by answering a guided series of questions. The output is structured around the U.S. Department of Health and Human Services (HHS) sample Business Associate Agreement provisions and is intended to include the mandatory provisions required by 45 CFR § 164.504(e).

A free version produces a watermarked PDF. A $29 one-time purchase produces a clean (non-watermarked) PDF and an editable Microsoft Word (.docx) version. The legal language is identical between the two versions.

5. Payment and refunds

Payments for the $29 clean-copy plan are processed through Stripe. Because the product is a digital document delivered immediately upon payment, all sales are final and non-refundable except where required by applicable law. If you believe there is a defect with the product (for example, the document failed to download or generated incorrectly), email support@baagenerator.com within 7 days of purchase and we will work with you in good faith to resolve it.

6. Intellectual property

The Site, the wizard interface, clause templates, and all related content are owned by BAA Generator and protected by U.S. copyright law. When you purchase the $29 version, we grant you a non-exclusive, worldwide, perpetual license to use the generated Word and PDF files for your own internal business purposes and to execute them with counterparties. You may not resell, redistribute, or make the generated files available as a competing template library.

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL MEET YOUR REQUIREMENTS, BE UNINTERRUPTED, OR BE ERROR-FREE. WE DO NOT WARRANT THAT THE GENERATED DOCUMENTS ARE LEGALLY SUFFICIENT FOR YOUR SPECIFIC SITUATION.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL BAA GENERATOR, ITS OWNERS, OR ITS AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, REVENUES, DATA, OR GOODWILL, ARISING OUT OF OR RELATING TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING OUT OF OR RELATING TO THE SERVICE IS LIMITED TO THE GREATER OF (A) THE AMOUNT YOU PAID TO US IN THE TWELVE MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) $50 USD.

10. Indemnification

You agree to indemnify and hold harmless BAA Generator, its owners, and its affiliates from any claim, loss, liability, or expense (including reasonable attorneys' fees) arising out of your breach of these Terms or your use of any document generated by the Service.

11. Changes to the Service or these Terms

We may modify the Service or these Terms at any time. Material changes to the Terms will be indicated by updating the "Last updated" date at the top of this page. Continued use of the Service after a change constitutes acceptance of the revised Terms.

12. Termination

We may suspend or terminate your access to the Service at any time, with or without cause, and with or without notice. Sections 1, 4, 5, 6, 8, 9, 10, 13, and 14 survive termination.

13. Governing law and dispute resolution

These Terms are governed by the laws of the State of Delaware, without regard to conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Service will be resolved exclusively in the state or federal courts located in Delaware, and you consent to personal jurisdiction there. Nothing in this section limits your rights to pursue claims in small-claims court or to seek injunctive relief in any court of competent jurisdiction.

14. Miscellaneous

These Terms constitute the entire agreement between you and BAA Generator regarding the Service. If any provision is held unenforceable, the remaining provisions remain in effect. Our failure to enforce any right is not a waiver of that right. You may not assign these Terms without our consent.
